01Acceptance of Terms

By accessing or using THriveX (the "Service"), including our website, AI Workspace, Agent Studio, and any related applications operated by TensorHub Technologies ("TensorHub", "we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

02Description of Service

THriveX is a platform for building, deploying, and managing AI agents ("AI Workforce") that work alongside human teams across roles and industries, including but not limited to THriveX Clinical, THriveX SCM, and Audit & Compliance, as well as the underlying THriveX Agent Studio runtime, THriveX Mesh, and AI Workspace tooling. Features, availability, and functionality may change over time and may vary by plan, region, or industry.

03Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at hello@thub.tech if you suspect unauthorized use of your account.

04Acceptable Use

You agree not to misuse the Service. This includes, without limitation, agreeing not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation;
• Reverse engineer, decompile, or attempt to extract the underlying models, weights, or source code of the Service;
• Interfere with, overload, or disrupt the integrity or performance of the Service;
• Circumvent usage limits, authentication, or access controls; or
• Use the Service to build a competing product using outputs obtained from it.

Use of AI agents and generated output is further governed by our AI Acceptable Use Policy, which is incorporated into these Terms by reference.

05AI Agents & Automated Output

THriveX enables the configuration of autonomous and semi-autonomous AI agents. Outputs generated by these agents are produced by machine learning systems and may contain errors, omissions, or inaccuracies. You are responsible for configuring appropriate human review checkpoints for any agent workflow, and for independently verifying agent output before relying on it for clinical, financial, regulatory, legal, safety-critical, or other high-stakes decisions.

06Subscriptions & Fees

Paid plans are billed in accordance with the pricing and billing terms presented to you at sign-up or in an applicable order form. Fees are non-refundable except where required by law or expressly stated otherwise. We may change pricing on a going-forward basis with reasonable notice.

07Intellectual Property

TensorHub retains all rights, title, and interest in and to the Service, including the THriveX platform, models, agent templates, and branding. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You retain ownership of the data and content you submit to the Service ("Customer Data").

08Confidentiality & Customer Data

We treat non-public information you designate, or would reasonably be understood, as confidential accordingly, and will not disclose it except as permitted under these Terms or as described in our Privacy Policy. You grant us the right to process Customer Data solely to provide, secure, and improve the Service, subject to the commitments in our Privacy Policy.

09Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE.

10Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENSORHUB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11Indemnification

You agree to indemnify and hold TensorHub harmless from any claims, damages, or expenses arising from your use of the Service in violation of these Terms or applicable law, including any decisions made or actions taken in reliance on AI agent output without appropriate human review.

12Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, pose a security risk, or as required by law. Upon termination, your right to use the Service ceases immediately; provisions that by their nature should survive termination will survive.

13Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as posting an updated version on this page with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14Governing Law

These Terms are governed by the laws of the jurisdiction in which TensorHub Technologies is registered, without regard to conflict-of-law principles, unless otherwise required by applicable local law.
